These Terms of Service constitute a legally binding agreement between you and Pawatics, Inc. By accessing or using any part of the Pawatics platform, including Pawlee AI, you acknowledge that you have read, understood, and agree to be bound by these terms in their entirety. If you do not agree, you must immediately discontinue use of our services.
These Terms of Service ("Agreement") govern the relationship between Pawatics, Inc., a Delaware corporation ("Pawatics," "we," "us," or "our"), and any individual, organization, or entity ("you," "your," or "User") that accesses, registers for, or uses the Pawatics platform, website, mobile application, or any related services, including Pawlee AI (collectively, the "Services").
By creating an account, submitting a form, clicking an acceptance checkbox, or otherwise using the Services, you represent that (a) you are at least 18 years of age or the age of majority in your jurisdiction, (b) you have the legal capacity to enter into binding agreements, and (c) you agree to be bound by this Agreement and all applicable laws and regulations.
Pawatics operates a pet technology platform that connects pet owners, animal shelters, and pet service businesses through a unified digital infrastructure. The Services include, without limitation:
We reserve the right to modify, suspend, or discontinue any part of the Services at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of Services.
Pawlee AI is an artificial intelligence tool. It is not a licensed veterinarian, medical professional, legal advisor, financial advisor, or any other licensed professional. Nothing generated by Pawlee AI constitutes professional advice of any kind. You should always consult a qualified, licensed professional before making decisions based on AI-generated content.
Pawlee AI may provide general information about pet health, behavior, nutrition, and care. This information is provided for general educational and informational purposes only. Pawatics strongly recommends that you consult a licensed veterinarian before taking any action based on information provided by Pawlee AI. Pawlee AI is not a substitute for professional veterinary examination, diagnosis, or treatment. In any emergency involving your pet, contact a licensed veterinarian or emergency animal clinic immediately.
Pawlee AI uses machine learning models that may produce inaccurate, incomplete, or outdated information. We do not warrant that outputs from Pawlee AI are accurate, complete, reliable, or fit for any particular purpose. You acknowledge that AI technology has inherent limitations and that you use Pawlee AI at your own risk.
Pawlee AI assists animal shelters in pre-screening adoption applications. Pre-screening outputs are recommendations only. Final adoption decisions remain the sole responsibility of the shelter and its authorized staff. Pawatics makes no representations or warranties regarding the accuracy of application scores, verification results, or any other pre-screening output.
Pawlee AI handles inquiries, calls, and messages on behalf of pet businesses. Business owners are responsible for reviewing AI interactions and ensuring accuracy of information provided to customers. Pawatics is not responsible for errors or omissions in AI-generated business communications.
You expressly agree not to rely solely on Pawlee AI for any decision that may affect the health, safety, welfare, or legal rights of yourself, any animal, or any other person. Pawatics disclaims all liability for harm arising from reliance on AI-generated content without independent professional verification.
To access certain features of the Services, you must create an account. You agree to:
We reserve the right to suspend or terminate any account that we reasonably believe has been used in violation of this Agreement or applicable law.
By providing your phone number and checking the consent box on any Pawatics form, you expressly consent to receive recurring automated marketing and transactional text messages from Pawatics at the mobile number provided. You further consent to receive marketing and transactional emails at the address provided.
These communications are subject to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and all applicable federal and state telecommunications regulations. Pawatics complies with all applicable laws governing electronic communications.
You agree to use the Services only for lawful purposes and in a manner consistent with this Agreement. You expressly agree not to:
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account and may subject you to civil or criminal liability.
The Services may integrate with third-party platforms including but not limited to Shelterluv, payment processors, SMS providers, and calendar services ("Third-Party Services"). Your use of Third-Party Services is governed by the terms and privacy policies of those third parties. Pawatics is not responsible for the availability, accuracy, or practices of any Third-Party Service. We make no representations or warranties regarding Third-Party Services and disclaim all liability for any harm arising from your use of them.
All content, technology, software, data, algorithms, models, designs, trademarks, trade names, service marks, and other intellectual property on the Pawatics platform, including Pawlee AI, are the exclusive property of Pawatics, Inc. or its licensors and are protected by applicable federal and state intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any portion of the Services without our express prior written consent.
Any feedback, suggestions, or ideas you provide regarding the Services may be used by Pawatics without restriction, compensation, or attribution to you.
You retain ownership of content you submit to the platform ("User Content"). By submitting User Content, you grant Pawatics a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of operating and improving the Services.
You represent and warrant that your User Content does not violate any third-party rights, is not defamatory or unlawful, and complies with this Agreement. Pawatics reserves the right to remove any User Content that violates this Agreement or that we deem objectionable in our sole discretion.
Your use of the Services is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the Services you consent to the collection, use, and sharing of your information as described in the Privacy Policy.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PAWATICS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
Pawatics does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. Pawatics does not warrant the accuracy, completeness, or usefulness of any information provided through the Services, including outputs from Pawlee AI.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PAWATICS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF PAWATICS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event shall Pawatics' total cumulative liability to you for all claims arising out of or related to this Agreement exceed the greater of (a) the total amount paid by you to Pawatics in the twelve months preceding the claim or (b) one hundred dollars ($100.00).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Pawatics, Inc. and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Services, (b) your violation of this Agreement, (c) your violation of any rights of a third party, or (d) any User Content you submit to the platform.
Either party may terminate this Agreement at any time. We reserve the right to suspend or terminate your access to the Services, with or without notice, for any reason, including if we reasonably believe you have violated this Agreement or any applicable law.
Upon termination, your right to use the Services will immediately cease. Sections 8, 10, 11, 12, 13, 15, and 16 of this Agreement shall survive termination.
Any dispute, claim, or controversy arising out of or relating to this Agreement or the Services shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.
Arbitration shall take place in Wilmington, Delaware. Each party shall bear its own costs of arbitration unless the arbitrator determines otherwise. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
You agree to bring any claim against Pawatics solely in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.
Pawatics reserves the right to modify these Terms of Service at any time. We will provide notice of material changes by updating the effective date at the top of this page and, where appropriate, by sending an email notification to registered users. Your continued use of the Services after the effective date of any modification constitutes your acceptance of the revised terms. If you do not agree to the revised terms you must discontinue use of the Services.
This Agreement constitutes the entire agreement between you and Pawatics with respect to the Services and supersedes all prior agreements, understandings, and communications, whether written or oral. If any provision of this Agreement is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.
